Description

Przedmiotem zamówienia jest zawarcie umów zlecenia gwarancji (dalej łącznie zwanych „Umowami Zlecenia Gwarancji”, na podstawie których Wykonawca lub Wykonawcy wystawi/wystawią na zlecenie Zamawiającego gwarancje bankowe na rzecz Europejskiego Banku Inwestycyjnego z siedzibą w Luksemburgu (dalej „EBI”) jako beneficjenta gwarancji, w formie i treści akceptowalnej dla EBI, na zabezpieczenie roszczeń EBI w stosunku do Zamawiającego, wynikających z kredytów udzielonych Zamawiającemu przez EBI na podstawie następujących umów o finansowanie: 1) umowy o finansowanie zawartej pomiędzy Zamawiającym i EBI w dniu 20 września 2023 roku, zmienionej aneksem, który wszedł w życie w dniu 24 stycznia 2025 roku (dalej „Umowa o finansowanie 1”), 2) umowy o finansowanie zawartej pomiędzy Zamawiającym i EBI w dniu 18 marca 2025 roku (dalej „Umowa o finansowanie 2”), 3) umowy o finansowanie zawartej pomiędzy Zamawiającym i EBI w dniu 2 maja 2025 roku (dalej „Umowa o finansowanie 3”), do wskazanych we wnioskach o udzielenie gwarancji sum gwarancyjnych. Udzielenie gwarancji bankowych na rzecz EBI na zabezpieczenie kredytu udzielonego Zamawiającemu przez EBI na podstawie Umowy o finansowanie 1 w okresie dostępności trwającym od dnia wejścia w życie Umowy Zlecenia Gwarancji 1 do dnia 20 września 2027 roku. Okres ważności danej gwarancji liczony będzie od dnia jej wystawienia do dnia przypadającego 4 lata od dnia jej wystawienia (okres ważności ustalany odrębnie dla każdej wystawionej gwarancji);; Udzielenie gwarancji bankowych na rzecz EBI na zabezpieczenie kredytu udzielonego Zamawiającemu przez EBI na podstawie Umowy o finansowanie 2 w okresie dostępności trwającym od dnia wejścia w życie Umowy Zlecenia Gwarancji 2 do dnia 18 marca 2029 roku.
