Description

Przedmiotem umowy jest sprzedaż przez Wykonawcę energii elektrycznej na potrzeby Zamawiającego (Uzdrowisko Kołobrzeg S.A. w Kołobrzegu) do PPE w obiektach wskazanych w pkt 2 poniżej, w części posiadających zainstalowane panele fotowoltaiczne, wraz z usługą odbioru i rozliczenia energii elektrycznej wprowadzonej do sieci Operatora Systemu Dystrybucyjnego (OSD) z tych mikroinstalacji. Zakres umowy obejmuje sprzedaż energii elektrycznej do 16 punktów poboru energii (PPE) wraz z odbiorem i rozliczeniem energii elektrycznej wprowadzonej do sieci OSD z mikroinstalacji dla 6 PPE. Wykonawca jest zobowiązany do posiadania aktualnej koncesji, wydanej przez Prezesa Urzędu Regulacji Energetyki, na prowadzenie działalności gospodarczej w zakresie obrotu energią elektryczną zgodnie z ustawą z dnia 10 kwietnia 1997 r. - Prawo energetyczne oraz obowiązującej co najmniej do końca wykonywania przedmiotu zamówienia generalnej umowy dystrybucji zawartej z Operatorem Systemu Dystrybucyjnego, do którego sieci przyłączone są obiekty Zamawiającego, umożliwiającej sprzedaż energii elektrycznej do obiektów objętych zamówieniem. Umowa nie obejmuje usług dystrybucji energii elektrycznej, realizowanych na podstawie odrębnej umowy dystrybucyjnej zawartej przez Zamawiającego z OSD, do którego sieci przyłączone są PPE z Załącznika nr 6. Warunkiem realizacji niniejszej Umowy jest jednoczesne obowiązywanie umowy dystrybucyjnej. Jeżeli umowa dystrybucyjna aktualnie obowiązująca wymaga przedłużenia lub zmian koniecznych do realizacji sprzedaży energii elektrycznej przez Wykonawcę w wykonaniu zamówienia Wykonawca obowiązany jest dokonać takiego przedłużenia lub zmian umowy dystrybucyjnej w imieniu Zamawiającego, a Zamawiający udzieli Wykonawcy niezbędnych (przygotowanych przez Wykonawcę i zatwierdzonych przez Zamawiającego) pełnomocnictw. Zmiana taryfy na podstawie umowy dystrybucyjnej z OSD nie może być podstawą do zmiany ceny sprzedaży energii elektrycznej przez Wykonawcę.
