Description

1. Aufgrund der Komplexität der ausgeschriebenen Leistung, sowie der hohen Investitions-kosten bei unsicherer Haushaltslage und der durchaus schwierigen Arbeitsmarktlage, welche vor allem durch Fachkräftemangel geprägt ist, behält sich der Auftraggeber gem. § 132 Abs 2 Nr. 1 GWB vor, die Laufzeit des Vertrages gemessen an der Option die Verfahrensanwendung zu kaufen oder zu mieten, zu überprüfen. Derzeit legt der Auftraggeber eine Vertragslaufzeit von einem Jahr zugrunde, welche sich um jeweils ein Jahr verlängert, wenn dieser nicht drei Monate vor Ablauf gekündigt wird. Gem. Haushaltsordnung, wird die Wirtschaftlichkeit des Vertrages nach fünf Jahren überprüft, was zu einer Kündigung des Vertrages führen kann oder zu einer dann entsprechenden Anpassung gemessen an der Ausführung als Kauf- oder Mietvariante. 2. Darüber hinaus können sich die Anforderungen an das IT-System im Verlauf der Leistungs-erbringung aufgrund technischer, organisatorischer oder gesetzlicher Entwicklungen konkretisieren oder verändern, die ebenfalls eine Anpassung des bestehenden Vertrages zur Folge haben kann. 3. Die zur Verfügung stehende Haushaltsmittel sind anhand einer nach bestem Wissen und Gewissen geschätzten Auftragssumme angemeldet worden. Der Auftraggeber behält sich ebenfalls gem. §132 Abs 2 Nr. 1 GWB vor, während der Vertragslaufzeit das Budget einer regelmäßigen Überprüfung zu unterziehen, da zum einen nicht ausgeschlossen werden kann, dass z.B. zusätzliche und/oder weniger Haushaltsmittel zur Verfügung stehen, welche in das Projekt der neuen Zeitwirtschaft bei der Stadt Wuppertal fließen bzw. diesem entzogen werden und ggfls. Teile der Software-Anwendung früher beschafft werden oder zu einem späteren Zeitpunkt umgesetzt werden (z.B. Self-Service für Beschäftigte) 4. Der Auftraggeber behält sich demnach das Recht vor, während der Vertragslaufzeit die Auftragssumme auf die der Zuschlag erteilt wurde, zweimalig gegenüber dem Auftragnehmer um bis zu 50% zu erhöhen, wenn Anpassungen gem. Nr. 2 der Überprüfungsklausel vorgenommen werden sollen. Die Auftragserweiterung bedarf der Zustimmung durch den Auftragnehmer.
