Supporto specialistico di un Advisor finanziario nell’ambito di un’operazione di valorizzazione e vendita “in blocco” di alcuni cespiti immobiliari Rai (di seguito anche “Operazione”) . La procedura sarà svolta in due fasi (prequalifica e presentazione dell’offerta) attraverso la piattaforma di eprocurement di Rai, accessibile, previa registrazione, al seguente indirizzo: https://piattaformaacquisti.rai.it/PortaleAppalti/it/homepage.wp. Su tale Piattaforma è possibile consultare senza registrazione il disciplinare di gara relativo alla fase di prequalifica, contenente la disciplina delle modalità di presentazione della domanda di partecipazione e l’ulteriore documentazione relativa a tale fase. Il Capitolato Tecnico, la lettera di invito e l’ulteriore documentazione di gara necessaria ai fini della presentazione dell'offerta saranno accessibili ai soli candidati ammessi alla fase di presentazione dell’offerta. Nella lettera di invito relativa alla seconda fase verranno specificati i sub-criteri e sub-punteggi nonché la natura discrezionale tabellare o quantitativa di ciascuno di essi e il metodo di attribuzione dei coefficienti per il calcolo del punteggio dell’offerta tecnica e dell’offerta economica. Nel caso in cui sia ammessa una sola domanda di partecipazione o una sola offerta, la Stazione appaltante si riserva di aggiudicare comunque l’appalto ovvero di non aggiudicarlo, a suo insindacabile giudizio. La garanzia provvisoria di cui all'art. 106 del D. Lgs. n. 36/2023 dovrà essere presentata nella seconda fase e avere una durata di 180 giorni a decorrere dal termine di presentazione delle offerte, con impegno del garante a rinnovare la garanzia, su richiesta della stazione appaltante nel corso della procedura, nel caso in cui al momento della sua scadenza non sia ancora intervenuta l'aggiudicazione. Servizio di un Advisor finanziario nell’ambito di un’operazione di valorizzazione e vendita “in blocco” di alcuni cespiti immobiliari Rai (di seguito anche “Operazione”) In particolare, il Servizio ha ad oggetto le seguenti attività: a) supporto nella definizione del processo di valorizzazione del pacchetto immobiliare, strutturazione delle attività di marketing, gestione e coordinamento del complessivo iter di vendita; b) supporto nelle fasi di negoziazione e nell'analisi e comparazione degli impatti economico-finanziari per Rai delle offerte ricevute nelle differenti fasi del processo (es. non binding offer, binding offer, ecc.); c) coordinamento dei contributi degli altri advisor eventualmente coinvolti da Rai nell'Operazione (ad esempio, advisor tecnico/immobiliare e advisor legale). Il servizio dovrà in ogni caso includere ogni altra attività necessaria per l'espletamento dell'Operazione e delle attività sopra indicate, in linea con le best practices di mercato anche in presenza di eventuali variazioni del contesto di riferimento senza oneri aggiuntivi per Rai. L’appalto è articolato in un unico lotto per ragioni di efficienza in quanto il Servizio da affidare si riferisce a prestazioni non divisibili dal punto di vista funzionale da rendere in modo coordinato a garanzia dell'interesse pubblico perseguito e secondo requisiti prestazionali omogenei complessivamente finalizzati all’unitaria erogazione del servizio stesso
