Project: P508490 - Preparation of Resilient Projects to Advance Recovery of Ukraine (PREPARE Ukraine) Reference: PREPARE-C3-04 Procurement method: Individual Consultant Selection Financing: World Bank Public-Private Partnership Agency (Ukraine) Project Implementation Unit (PIU) for PREPARE Ukraine REQUEST FOR EXPRESSIONS OF INTEREST (CONSULTANT SERVICES) Legal Specialist (PREPARE-C3-04) BACKGROUND The International Bank for Reconstruction and Development (hereinafter referred to as the IBRD, the Bank) will assist Ukraine in financing the Project “Preparation of Sustainable Projects to Promote the Recovery of Ukraine (PREPARE Ukraine)” (hereinafter referred to as the Project), which is aimed at supporting Ukraine in preparing for the implementation of public investment projects (hereinafter - “Investments”) identified by the Government of Ukraine as priorities within the Single Project Pipeline (SPP), and at the same time building the capacity of the Government of Ukraine to ensure effective management of public investments. The Project will be implemented under the general supervision of the Ministry Economy of Ukraine (hereinafter - MoE) by the Project Implementing Entity - State Organization “Agency on support Public-Private Partnership” (hereinafter - PPP Agency). PPP Agency will create a Project Implementation Unit (hereinafter - PIU) for day-to-day management and coordination of the Project and provision of assistance to the Project in disbursement issues, financial management, reporting and other Project related activities. PIU shall be responsible for general coordination of activities and reporting under the Project [through the MoE]. The need for the PPP Agency to engage consultants by purchasing their services is justified by the need for effective implementation of Project activities, assisting the staff of the PPP Agency in day to day Project operations and the decision-making process. In addition to the Grant Agreement and Project Operations Manual, internally, the Project shall be regulated by the Decree of the Cabinet of Ministers of Ukraine dated 27.01.2016 № 70 “On the procedure for the preparation, implementation, monitoring and completion of the implementation of economic and social development projects of Ukraine supported by international financial organizations”, other legal acts of the Cabinet of Ministers of Ukraine and Orders of MoE. OBJECTIVE Under this support framework, the PPP Agency seeks the services of a Legal Specialist to support PPP Agency in ensuring the Project’s implementation to comply with the requirements of current Ukrainian legislation, legal screening (checking compliance with legislation) and preparing Investments in compliance with applicable legislation. SCOPE OF SERVICES Legal Specialist will perform the following tasks: To provide advisory assistance to PPP Agency regarding the development of regulatory documents for the implemention of the Project; Support the PPP Agency in the analysis and comments on any potential legal or regulatory issues that may present impediments to the selected Investments. If necessary, prepare recommendations on amendments to the relevant legislation; Legal support the PPP Agency and its consultants in collecting of data required to analyze potential proposed Invetsments, as well as any other data or information required to carry out the preparation and structuring of Investments; Assist in legal review of the documentation (including but not limited to ownership documents, local and country regulative framework documents, etc) related to potential Investments; Support the PPP Agency in the preliminary assessment, pre-Feasibility Studies of potential Investments in terms of legal feasibility (legal risks, specific legal-related issues etc.); Support the PPP Agency in conducting a detailed legal analysis of Investmnets; Support the PPP Agency in legal review of the envisioned legal structure for selected Investments; Assisting the PPP Agency with the preparation of Feasibility Studies (in terms of detailed legal analysis); To interact with government agencies with respect to legal issues related to the Project, preliminary assessment, pre-Feasibility Studies, and other activities related to the identification and preparation of Investments; Work with the MoE, PPP Agency, donor organisations and other relevant stakeholders for the development of standardized contractual documents (with the Project-financed consultants (lump-sum and time based) and providers of nonconsultancy services as well as contractual documents with suppliers and contractors under PIPs projects) and standardized Bidding Documents for selection of Project-financed consultants, nonconsultancy services and Bidding Documents for selection of suppliers, contractors, consultants under packages for the Invetsments; To carry out generalization and analysis of proposals for members of Ukrainian parliament, central and local executive authorities, and local self-governme
